1. Acceptance of the Terms

By accessing and using the TrustAxis platform, you acknowledge that you have read, understood and agreed to be bound by these Terms of Use. If you do not accept these terms, you must not use our services.

2. Description of the Service

TrustAxis is a matchmaking platform that enables small and medium-sized Swiss enterprises (SMEs) to find and engage certified professional advisers in professional counselling and conflict resolution. The platform facilitates the connection between businesses and service providers, but is not itself a provider of counselling or conflict-resolution services.

3. Limitation of Liability

TRUSTAXIS PROVIDES THE PLATFORM "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, TRUSTAXIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

TrustAxis shall in no event be liable to you or any third party for direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to loss of profits, loss of data, business interruption or any other damage arising from or related to the use or inability to use the platform.

4. User Responsibilities

You acknowledge and agree that TrustAxis is not responsible for the actions, omissions, content, communications or conduct of platform users. You are solely responsible for your interactions with other users and the consequences that result from them.

Companies using TrustAxis to engage advisers are solely responsible for verifying advisers' qualifications, certifications and references before entering into any agreement. TrustAxis does not guarantee the accuracy, completeness or currency of information provided by users.

5. Protection against Cyberattacks and Data Loss

Although TrustAxis implements reasonable security measures to protect your data, no system is completely secure. You acknowledge and agree that TrustAxis cannot guarantee the absolute security of data transmitted or stored on the platform.

TrustAxis disclaims all liability for losses, damages or harm resulting from cyberattacks, data breaches, unauthorised access, computer viruses, Trojan horses, worms, malware or any other harmful code or program, whether originating from third parties or not.

6. Force Majeure and Unforeseeable Events

TrustAxis shall not be liable for any delay or failure in performing its obligations resulting from circumstances beyond its reasonable control, including but not limited to acts of God, wars, acts of terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, network or equipment failures, strikes or other labour disputes.

7. Payment System - Third-Party Services

TrustAxis may use third-party payment services to facilitate transactions between users. You acknowledge and agree that TrustAxis is not responsible for the actions, policies, practices or services of third-party payment providers, including but not limited to processing delays, transaction errors, payment disputes or fraud.

All payments are made directly between you and the third-party service provider. TrustAxis does not manage, store or have access to complete payment information (such as full credit card numbers). By using third-party payment services, you also accept the terms and conditions and privacy policy of the third-party payment provider.

TrustAxis disclaims all liability for financial losses resulting from failed transactions, refunds, payment disputes, fraud, overcharges or any other issue related to payment processing by third parties.

8. Nature of the Platform - Marketplace

TrustAxis operates solely as a matchmaking platform (marketplace) and does not participate directly in transactions between users. TrustAxis is not a party to any contracts or agreements entered into between businesses and advisers. All agreements, contracts and transactions are concluded directly between users, and TrustAxis assumes no contractual responsibility in these relationships.

9. Indemnification

You agree to indemnify, defend and hold harmless TrustAxis, its officers, employees, agents and partners from any claim, liability, damage, loss and expense (including reasonable attorneys' fees) arising from or related to your use of the platform, your breach of these Terms of Use, or your violation of the rights of any third party.

10. Changes to the Terms

TrustAxis reserves the right to modify these Terms of Use at any time. Changes take effect as soon as they are published on the platform. Your continued use of the platform after any modification constitutes your acceptance of the new terms.

11. Applicable Law and Jurisdiction

These Terms of Use are governed by Swiss law. Any dispute arising from or related to these terms will be subject to the exclusive jurisdiction of the competent Swiss courts.
